Reporting to the President, the Head of Representative Office (HRO) – Vietnam will be responsible for establishing, managing, and overseeing all operations of the company’s Representative Office in Vietnam. This senior leadership role involves ensuring compliance with local laws and regulations, promoting the company’s brand and interests, conducting market research, and facilitating business development activities. The HRO acts as the primary local contact point and must effectively represent the company’s values and strategic goals to partners, clients, and authorities.

KEY RESPONSIBILITIES & DUTIES

Strategic Market Development & Liaison

  • Market Research & Analysis: Lead and execute comprehensive market research, competitor analysis, and feasibility studies to identify new business opportunities and support the parent company’s strategic decision-making process for entering or expanding in the Vietnamese market.
  • Business Promotion: Conduct non-commercial trade promotion activities for the parent company’s products and services, including organizing seminars, participating in trade fairs, and building brand awareness.
  • Relationship Management: Serve as the official representative and liaison for the foreign trader with local government agencies, industry partners, existing and potential customers, and suppliers.
  • Contract Monitoring: Monitor and manage the execution of commercial contracts previously signed between the parent company and Vietnamese partners, providing local coordination and administrative support.

Legal, Financial, and Administrative Compliance (Mandatory)

  • Legal Compliance: Ensure the Representative Office operates at all times strictly within the scope of its Establishment License and complies with all relevant Vietnamese laws, including the Commercial Law and its related decrees.
  • Government Reporting: Prepare and submit the mandatory Annual Activity Report to the relevant licensing authority (usually the Department of Industry and Trade) by the last working day of January each year, and all other required reports (statistical, financial) as mandated by local law.
  • Finance and Tax: Manage the office’s operational budget, open and operate the local bank accounts for operating expenses, and ensure timely declaration and payment of Personal Income Tax (PIT) for all employees, as the RO is not subject to Corporate Income Tax (CIT) or VAT.
  • Personnel Management & HR Compliance: Oversee the recruitment, management, and internal policy of all local and expatriate staff. Ensure strict compliance with Vietnamese labor laws, including securing work permits and temporary residence cards for foreign staff, and correctly managing mandatory social insurance contributions.
  • Office Management: Oversee all general administrative and logistical functions of the office, including executing contracts for office leasing, procuring equipment, and other routine daily operations.

Leadership and Corporate Governance

  • Accountability: Be fully accountable to the foreign trader for all activities conducted by the Representative Office.
  • Delegation of Authority: If leaving Vietnam for any period, the Chief Representative must authorize another person in writing to perform their rights and obligations. If absent for more than 30 days without proper authorization, the foreign trader must appoint a new Head.
  • Internal Control: Implement and maintain internal management regulations and policies to ensure efficient operation and adherence to the foreign trader’s directives.

    REQUIRED QUALIFICATIONS & SKILLS

    • Essential Professional and Legal Requirements

    • Appointment: Must be officially appointed as the Head of Representative Office by a competent representative of the foreign trader (parent company).

    • Ineligibility Restrictions: Must not concurrently hold the following positions under Vietnamese law:

    • Head of a branch of the same or another foreign trader.

    • Legal representative of the same or another foreign trader.

    • Legal representative of any economic organization established under Vietnamese law.

    • Residency (Implicit): Must generally be present in Vietnam to manage the RO’s operations or ensure proper written delegation in case of absence.

    • Education: Bachelor’s degree or higher in Business Administration, International Trade, Law, or a related field.

    • Experience: A minimum of 5-7 years of experience in a senior management, market development, or legal compliance role, preferably in Vietnam or Southeast Asia.

    • Key Skills and Competencies

    • Compliance & Legal Acumen: Deep understanding of Vietnamese commercial and labor law, particularly concerning Representative Office operation and restrictions.

    • Interpersonal & Negotiation Skills: Exceptional ability to build and maintain relationships with diverse stakeholders, including government officials and potential business partners.

    • Leadership & Management: Proven ability to manage a small team, delegate tasks, resolve conflicts, and drive performance.

    • Cross-Cultural Communication: Excellent command of English (written and spoken); proficiency in Vietnamese is a significant advantage.

    • Strategic Planning: Ability to translate the parent company’s global strategy into a clear, compliant, and actionable local plan for market development.

    COMPENSATION & BENEFITS

    Salary & Package

    Compensation: Competitive salary package commensurate with experience and consistent with senior expatriate or high-level local management roles in Vietnam.
